    Those using non-competes take note: The FTC just issued a final rule banning non-competes nationwide, aiming to boost worker freedom and business innovation. This will impact businesses and their workers throughout the country. Under the rule, most non-competes for workers will be unenforceable. The FTC’s rule banning noncompetes takes effect 120 days post Federal Register publication. As a few points: For senior executives, non-competes existing before the final rule’s effective date can remain in force. No entering/enforcing new non-competes with senior executives. Senior executives are considered workers earning more than $151,164 annually and who are in policy-making positions. Existing non-competes with other workers are no longer enforceable after the effective date. The rule also requires employers to provide notice to workers with existing non-competes that they are no longer enforceable. Businesses are likely to have concerns about safeguarding their trade secrets and confidential business information. They might have alternatives like having workers enter into non-disclosure agreements (NDAs) and confidentiality agreements designed to protect that information. It will be interesting to see how this unfolds and whether the rule causes the intended effects on business, if the rule survives legal challenge.     Corporate Transparency Act Ruled Unconstitutional in Nat'l Small Bus. United v. Yellen - What Does It Mean? On March 1, 2024, a federal district court (United States District Court for the Northern District of Alabama, Northeastern Division) issued an opinion holding that the Corporate Transparency Act (CTA) is, in short, unconstitutional. What does it mean for companies? It initially seems that the court's ruling is being taken to prohibit Corporate Transparency Act (CTA) enforcement only "against the plaintiffs" the National Small Business Association itself and its certain member (Isaac Winkles). Also, it appears an appeal is expected. See Nat'l Small Bus. United v. Yellen, No. 5:22-cv-1448-LCB, 2024 U.S. Dist. LEXIS 36205 (N.D. Ala. Mar. 1, 2024). As such, it seems advisable for companies to continue to comply with the CTA's reporting requirements until further legal guidance becomes available.
